These Terms of Service (“Terms”) govern your access to and use of Subkeeper, a subscription- and spend-tracking service operated by Fine Folk LLC (“Fine Folk,” “we,” “us,” or “our”). By creating an account or using Subkeeper, you agree to these Terms. If you are using Subkeeper on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
Subkeeper is a tool that helps you record the software subscriptions, vendors, and services your business pays for; track their costs, billing cycles, and renewal dates; store related documents; and receive optional email reminders before renewals. Subkeeper is an informational and organizational tool only.
You must be at least 18 years old and able to form a binding contract to use Subkeeper. You agree to provide accurate account information, keep your login credentials confidential, and accept responsibility for all activity that occurs under your account. You retain all rights to the data, documents, and other materials you submit to Subkeeper (“Your Content”). You grant Fine Folk a limited, non-exclusive license to host, store, process, and display Your Content solely to operate and provide the Service to you. You are responsible for Your Content and represent that you have the rights necessary to submit it.
Renewal reminders and other notifications are provided as a convenience on a best-effort basis. We do not guarantee that any reminder will be sent, delivered, timely, or accurate, and reminders may be delayed or fail for reasons inside or outside our control (including email deliverability, third-party providers, or inaccurate information you entered). You remain solely responsible for tracking and managing your own subscriptions, renewals, cancellations, and payments. Fine Folk is not responsible for any auto-renewal, charge, late fee, lapse, or other loss arising from a missed, failed, delayed, or inaccurate reminder, or from data you entered into the Service.
Subkeeper currently offers its core features at no charge. We may introduce paid features or plans in the future; if we do, additional terms regarding pricing, billing, and cancellation will apply and will be presented to you before you incur any charge.
We aim to keep Subkeeper available and reliable, but we do not guarantee that it will be uninterrupted, secure, or error-free. We may add, change, suspend, or discontinue any part of the Service at any time.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will meet your requirements or that the information it presents is accurate or complete. Subkeeper is not a financial, accounting, tax, or legal advisor, and nothing in the Service constitutes professional advice.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINE FOLK AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) USD $100.
You agree to indemnify and hold harmless Fine Folk from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law.
You may stop using Subkeeper and close your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ends, and we may delete Your Content after a reasonable period, subject to our Privacy Policy and any legal retention requirements.
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you (for example, by email or an in-app notice). Changes take effect when posted, and your continued use of Subkeeper after that constitutes acceptance.
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Florida, and you consent to their jurisdiction.
